These Terms of Service govern your access to and use of Zynagi's AI governance, risk management, benchmarking, and trust assessment services. Please read them carefully before using our platform.

1. Acceptance of Terms

By accessing or using the Zynagi platform, website, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. Your continued use of the Services following any modifications to these Terms constitutes your acceptance of those modifications.

2. Services Provided

Zynagi provides AI governance intelligence, risk assessment tools, vendor risk analysis, benchmark reporting, trust scoring, and related advisory resources designed to support executive decision-making in organizations deploying artificial intelligence. Services include, but are not limited to, the AI Trust Score platform, AI Readiness Assessment, HIPAA Review Scanner, Vendor Registry, Watchlists and Alerts, Benchmark Reports Center, and the Executive Risk Library.

3. Informational Purposes Only

All content, data, reports, scores, assessments, benchmarks, and materials provided by Zynagi are for informational and educational purposes only. Zynagi content does not constitute legal advice, regulatory guidance, compliance certification, or a guarantee of any specific outcome. Organizations should evaluate Zynagi intelligence in conjunction with qualified legal, compliance, and regulatory counsel appropriate to their specific circumstances, jurisdiction, and industry.

5. No Regulatory Guarantee

Zynagi does not guarantee that use of its Services will result in compliance with any applicable law, regulation, or industry standard, including but not limited to HIPAA, GDPR, SEC regulations, FINRA rules, or state-level AI legislation. AI governance requirements evolve continuously. Zynagi benchmark scores, risk assessments, and governance recommendations represent assessments against current publicly available standards and organizational data and do not constitute legal or regulatory opinions.

6. User Responsibilities

Users of Zynagi Services are responsible for: (a) providing accurate information when using platform tools or completing assessments; (b) maintaining the confidentiality of their account credentials; (c) using the Services in compliance with applicable laws and regulations; (d) not attempting to circumvent, disable, or interfere with any security or access controls; (e) not reproducing, distributing, or commercializing Zynagi proprietary content without written permission; and (f) promptly notifying Zynagi of any unauthorized use of their account.

7. Intellectual Property

All content on the Zynagi platform — including benchmark data, research, frameworks, methodologies, reports, scoring algorithms, and written content — is the proprietary intellectual property of Zynagi. No content may be reproduced, republished, distributed, sold, or incorporated into other works without prior written consent from Zynagi. Limited, non-commercial citation with attribution to Zynagi is permitted for editorial, research, and journalistic purposes. The Zynagi name, logo, and brand marks are proprietary to Zynagi and may not be used without express written authorization.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Zynagi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to use of the Services, including but not limited to loss of revenue, loss of data, business interruption, regulatory penalties, or governance failures. Zynagi's total liability for any claim arising under these Terms shall not exceed the amount paid by the user to Zynagi in the twelve months preceding the claim. These limitations apply regardless of the theory of liability and even if Zynagi has been advised of the possibility of such damages.

9. Third-Party Services

The Zynagi platform may reference, link to, or integrate with third-party services, products, or vendors. Zynagi does not endorse, warrant, or assume responsibility for any third-party services or content. Vendor profiles, risk assessments, and benchmark data in the Zynagi Vendor Registry are based on publicly available information and Zynagi research methodology. Inclusion or exclusion of a vendor does not constitute an endorsement or recommendation. Organizations should conduct their own due diligence before adopting any AI vendor or tool.

10. Privacy

Use of Zynagi Services is also governed by the Zynagi Privacy Policy, available at zynagi.com/privacy-policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy. Zynagi processes organizational and contact information provided through assessments and platform tools in accordance with its privacy practices and applicable data protection requirements.

11. Changes to Terms

Zynagi reserves the right to modify these Terms at any time. Material changes will be communicated to registered users via email or through a prominent notice on the platform. Continued use of the Services following notice of changes constitutes acceptance of the updated Terms. Users who do not agree to modified Terms should discontinue use of the Services. Zynagi recommends reviewing these Terms periodically to remain informed of any updates.
